SERVICE TERMS & CONDITIONS

Welcome to NextGen Digitals! These Terms & Conditions (“Agreement”) govern your access and use of our services. By engaging with us, you agree to abide by these terms. Please read carefully before proceeding.

1. DEFINITIONS

• “Company” refers to NextGen Digitals, its subsidiaries, and affiliates.

• “Client” refers to any individual, business, or entity engaging with NextGen Digitals for services.

• “Services” refers to website design & development, digital marketing, social media marketing, graphic designing, IT project management, and any other related services offered by NextGen Digitals.

• “Deliverables” refers to the final output of services rendered to the Client.

2. SERVICE ENGAGEMENT

• All service engagements require a written agreement, invoice, or formal acceptance of a proposal.

• NextGen Digitals reserves the right to accept or decline service requests at its discretion.

• The scope of work will be clearly defined before the commencement of any service.

3. PAYMENT TERMS

• Payment terms are 85% upfront before project commencement and 15% upon completion unless otherwise agreed in writing.

• All invoices must be settled within 5 business days from the invoice date.

• All payments are to be made in the currency for which a quote/invoice has been provided for.

• Late payments attract a 5% late fee per week of non-payment.

• No work will commence until initial payment is received.

• No final deliverables will be handed over until full payment is completed.

4. CLIENT RESPONSIBILITIES

• The Client must provide all necessary information, content, credentials, and approvals required for service execution.

• Delays in providing required materials may affect project timelines.

• The Client is responsible for securing appropriate rights for all third-party content used in the project.

5. REVISIONS & MODIFICATIONS

• Clients are entitled to two (2) free revisions per project unless otherwise stated.

• Additional revisions will attract an extra charge based on the complexity of the request.

• Major changes beyond the agreed project scope will be charged separately.

6. CONFIDENTIALITY & DATA SECURITY

• Both parties agree to maintain strict confidentiality of sensitive business information shared during the engagement.

• NextGen Digitals ensures all website credentials, business data, and customer information are securely stored and handled.

• Any disclosure of confidential information will be subject to legal consequences.

7. INTELLECTUAL PROPERTY

• All original work created by NextGen Digitals remains the property of NextGen Digitals until full payment is received.

• Upon full payment, intellectual property rights for the specific deliverables transfer to the Client.

• NextGen Digitals reserves the right to showcase completed work in its portfolio unless a Non-Disclosure Agreement (NDA) is in place.

8. THIRD-PARTY SERVICES

• NextGen Digitals may integrate third-party services, tools, or software into projects.

• The Company is not responsible for third-party service failures, restrictions, or interruptions.

9. WARRANTIES & DISCLAIMERS

• All services are provided on an “as-is” basis without warranties of any kind.

• NextGen Digitals does not guarantee specific business outcomes, rankings, or profits from services rendered.

• The Client assumes all risks associated with implementing services.

10. LIABILITY LIMITATION

• NextGen Digitals shall not be liable for any direct, indirect, incidental, consequential, or special damagesarising from service use.

• Maximum liability is limited to the amount paid by the Client for the specific service.

11. TERMINATION & REFUNDS

• Either party may terminate services with a 7-day written notice.

• Deposits/payments are non-refundable after work has commenced.

• If a Client cancels mid-project, fees for completed work will be deducted, and the balance (if any) will be refunded at the Company’s discretion.

• In the case of refunds, payments would only be returned in the currency of which they were received.

12. FORCE MAJEURE

• NextGen Digitals shall not be held liable for service delays or failures caused by circumstances beyond reasonable control, including natural disasters, government actions, internet failures, or cyber-attacks.

13. DISPUTE RESOLUTION

• Any disputes shall first be resolved through mutual discussions.

• If unresolved, disputes will be settled through arbitration in accordance with the laws.

• The prevailing party shall be entitled to recover reasonable legal fees.

14. GOVERNING LAW

• These terms are governed by the Consumer Protection Laws of the Federal Republic of Nigeria.

• Any legal actions shall be conducted in the appropriate courts of law.

15. CHANGES TO TERMS

• NextGen Digitals reserves the right to update these Terms & Conditions at any time.

• Clients will be notified of major changes affecting service agreements.
